These Terms and Conditions govern your use of our call center, engineering services, software development, accounting, and data entry services. By accessing or using our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services.

    1. Service Agreement

    1.1. Service Description: MJ Tech provides call center, engineering services, software development, accounting, and data entry services to clients worldwide. The specific details of the services, including scope, deliverables, and timelines, will be agreed upon in a separate Service Agreement or Statement of Work (SOW) between MJ Tech and the client.

    1.2. Client Responsibilities: The client agrees to provide accurate and complete information necessary for MJ Tech to perform the requested services. The client is responsible for ensuring compliance with applicable laws and regulations related to the use of our services.

    1.3. Confidentiality: MJ Tech and the client shall maintain the confidentiality of any confidential or proprietary information exchanged during the provision of services. Both parties agree not to disclose or use such information for any purpose other than fulfilling the obligations under the Service Agreement.

    1. Intellectual Property

    2.1. Ownership: Unless otherwise agreed in writing, all intellectual property rights, including but not limited to copyrights, patents, and trademarks, developed or used by MJ Tech in connection with the provision of services shall remain the property of MJ Tech.

    2.2. License: Upon payment of the agreed fees, MJ Tech grants the client a limited, non-exclusive, non-transferable license to use any deliverables or intellectual property specifically created for the client as part of the services. This license is subject to compliance with these Terms and Conditions.

    1. Payment and Billing

    3.1. Fees: The client agrees to pay the fees for the services provided by MJ Tech as outlined in the Service Agreement or SOW. Payment terms, including invoicing schedules and methods of payment, will be mutually agreed upon between MJ Tech and the client.

    3.2. Late Payments: In the event of late payment, MJ Tech may charge interest on the outstanding amount at a rate specified in the Service Agreement or at the prevailing legal rate.

    1. Limitation of Liability

    4.1. Exclusion of Damages: MJ Tech shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the provision of services, including but not limited to loss of profits, data, or business opportunities.

    4.2. Indemnification: The client agrees to indemnify and hold MJ Tech, its employees, agents, and contractors harmless from any claims, damages, or liabilities arising out of the client's use of the services or any breach of these Terms and Conditions.

    1. Termination

    5.1. Termination by Either Party: Either party may terminate the Service Agreement or SOW by providing written notice to the other party. Termination shall not relieve the client's obligation to pay for the services rendered by MJ tech up to the effective date of termination.

    5.2. Survival: The provisions related to confidentiality, intellectual property, payment, and limitation of liability shall survive the termination of the Service Agreement or SOW.

    1. Governing Law and Dispute Resolution

    6.1. Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of Jurisdiction. Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Jurisdiction.

    1. Amendments

    MJ Tech reserves the right to modify or update these Terms and Conditions at any time without prior notice. Any changes to these terms will be effective upon posting the revised version on our website. It is the client's responsibility to review these Terms and Conditions periodically.

    1. Entire Agreement

    These Terms and Conditions, along with any Service Agreement or SOW entered into between MJ Tech and the client, constitute the entire agreement between the parties concerning the subject matter herein and supersede all prior or contemporaneous agreements, understandings, or representations, whether written or oral.
